Dutch Partnership Agreement

One drawback of a man-vrouw business is that both partners are personally responsible and a marriage agreement offers no form of protection. However, new partners may enter into agreements with existing partners on how to distribute existing VOF debts. Partners who withdraw from the trade partnership are jointly responsible for all debts incurred up to the start. As part of a public partnership, you work with your partners under a common name. No starting capital is required. Each partner is privately responsible for an equal share of the potential debt. In principle, as in marriage, all assets and debts are shared in the registered partnership, but different agreements can be concluded by instructing a notary to enter into a prior partnership agreement, similar to a marriage partnership agreement. If you want to create a public partnership, you must list your partnership in the trade register. It is not possible to register an „unopened partnership“ (stille maatschap zonder onderneming).

And all this is possible, even if the children are involved. We are thinking, for example, of agreements on the cost of child care and education. Although it is possible to write your own unions, it is best to contact a lawyer to ensure that the agreement properly protects your interests and is legally binding. The agreement will also be stronger if you and your spouse each speak with different lawyers before signing it. In the Netherlands, partners who do not wish to marry can instead enter into a registered partnership. Marriage and registered partnership are similar in this country. A cohabitation agreement gives you the freedom to find virtually every conceivable element that you want to add to such an agreement and that materialize in your relationship. If you want to organize much more than asset and cost allocation, then a registered partnership or wedding may be the best option.
